Terms of Service

1. Acceptance

By accessing or using BuildMind ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including company administrators and individual framing professionals accessing the platform on behalf of their employer.

2. The Service

BuildMind is an AI-powered software platform that reads construction blueprint PDF files and generates framing materials estimates organized into floor load, wall load, and roof load categories. The Service is provided by BuildMind LLC, an Illinois limited liability company.

3. Accounts

You must provide accurate company and contact information when creating an account.
You are responsible for maintaining the confidentiality of your credentials.
One account per company. Sharing credentials across unaffiliated companies is prohibited.
You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

5. Fees and Billing

Plans are billed monthly in advance on the anniversary of your signup date.
One-time setup fees are non-refundable.
You must provide 30 days written notice to cancel your subscription.
Accounts with outstanding balances past 15 days may have service suspended.
Refunds for monthly subscription fees are at BuildMind's sole discretion and are not generally provided for partial months.

6. Intellectual Property

BuildMind LLC retains all rights to the platform, software, AI prompts, AGENTS.md rule sets, framing knowledge base, models, and underlying technology.
You retain all rights to blueprint PDFs you upload and to the materials lists generated from your blueprints.
By uploading blueprints, you grant BuildMind a limited, non-exclusive license to process those files solely for the purpose of providing the analysis service to you.
Foreman corrections and knowledge submissions you provide may be used in anonymized, aggregated form to improve the accuracy of the Service for all customers.

7. AI Output Disclaimer

IMPORTANT — READ CAREFULLY

BuildMind uses artificial intelligence to generate framing materials estimates. AI outputs may contain errors, omissions, or inaccuracies.

All BuildMind outputs MUST be reviewed and verified by a qualified framing professional before any materials are ordered or framing work begins.

BuildMind is not a licensed engineering or estimating service. BuildMind LLC is not responsible for losses, rework costs, project delays, or damages of any kind arising from reliance on AI-generated estimates that have not been independently verified.

Customer is solely responsible for ensuring that all outputs are appropriate for their specific project, blueprint conditions, local building codes, and field conditions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BuildMind LLC's total cumulative liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees you paid to BuildMind in the twelve (12) months immediately preceding the claim.

BuildMind LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless BuildMind LLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate this agreement with 30 days written notice. BuildMind may terminate immediately for material breach of these Terms or our Acceptable Use Policy. Upon termination, you will receive an export of your job history and custom configuration within 7 business days.

11. Governing Law

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of law principles.

12. Dispute Resolution

Before initiating any formal proceeding, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days. If informal resolution fails, disputes shall be resolved through binding arbitration in Illinois under the rules of the American Arbitration Association. Class action waiver: you waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify account holders of material changes at least 30 days in advance via email or in-product notice. Continued use of the Service after that date constitutes acceptance of the updated Terms.
